PipFarm Affiliate Agreement

Introduction

This Affiliate Agreement (the “Agreement”) is made between ECI Ventures Pte. Ltd., incorporated in Singapore with Legal Entity Identifier 202329954C, registered at 68 Circular Road #02-01, 049422, Singapore (the “Company”), and the acknowledging party (the “Affiliate”).

This Agreement shall be effective from the date the Affiliate submitted their application to join the Company’s affiliate program.

WHEREAS, the Company operates a service providing trading evaluation services for a fee paid by customers;

WHEREAS, the Affiliate wishes to refer potential customers to the Company and receive a commission for purchases.

WHEREAS, the Company wishes to engage the Affiliate to promote and market its services, and the Affiliate wishes to accept such engagement on the terms and conditions set out herein;

NOW, THEREFORE, the parties agree as follows:

 

Role of the Affiliate

  • The Affiliate shall, to the best of their ability, promote and refer potential customers to purchase the Company’s services.
  • The Affiliate is not an employee of the Company and shall act solely as an independent contractor, bearing their own costs and expenses.
  • Neither party shall have any exclusivity obligations or rights towards the other.
  • The Affiliate has no authority to bind the Company in any respect.

Prohibited Activities

  • The Affiliate shall not engage in any activity that may harm the Company’s reputation.
  • The Affiliate must not make false, misleading, overzealous or disparaging statements about the Company or its services.
  • The Affiliate shall not engage in marketing activities that directly compete with or imitate the Company, 
  • The Affiliate is prohibited from making any representations, warranties, or other statements concerning the Company or its services, except as expressly authorised by this Agreement.

Marketing and Promotion

  • The Company will provide a unique referral link to automatically track referrals. Referrals are attributed to the most recent tracking link clicked. 
  • A referral is recognised when potential clients use the Affiliate’s unique referral link to make purchases.
  • Sales are attributed to the Affiliate if a customer converts within 30 days of clicking a link.
  • The Affiliate may also provide a discount coupon code to attribute customers, which is another attribution method used.
  • The Affiliate’s coupons cannot be combined with the Company’s promotions. The Affiliate does not lose attribution if a referred customer uses the Company’s coupon after clicking the Affiliate’s referral link.
  • The Affiliate may also provide notification of referrals via email within 48 hours of the purchase to partners@pipfarm.com.

Payment Terms

  • The Company agrees to pay the Affiliate a commission of the amount chosen during registration. 
  • Commissions are payable only on sales recognised by the Company 30 days after the transaction has been completed.
  • The Company reserves the right to reject sales if they are determined to be fraudulent or violate the Trading Rules. Rejected sales can be reclaimed by deducting from future commission earnings.
  • Payments to the Affiliate shall be made weekly on Friday.
  • The minimum payout amount is $250. The balance will be carried over to the next payment period if the Affiliate’s earned commissions do not reach this threshold.
  • The Affiliate shall not earn commissions on their own purchases.
  • The Affiliate shall invoice the Company for amounts owed. Invoices must be submitted to finance@pipfarm.com using the email address used to register.

Term and Termination

  • This Agreement shall commence on the Effective Date and shall continue in effect until terminated by either party with 30 days written notice.
  • If the Affiliate breaches any Terms, the Company can terminate the Agreement immediately.
  • Upon termination, the Affiliate shall cease all use of and return or destroy any Company materials in its possession. The Affiliate may be liable 
  • Any owed commissions will be paid immediately upon termination
  • The Company shall not pay commissions on repeat purchases from referrals made after Termination.

Confidentiality & Disclosure

  • Both parties agree to maintain confidentiality of business, financial, and strategic information.
  • The Affiliate can disclose their financial incentives for promoting PipFarm if required for advertising disclosures and best practices.

General

  • The laws of Singapore govern this agreement. Any disputes shall be resolved in Singaporean courts.
  • The Company may amend this agreement after giving 30 days’ notice to the Affiliate.
  • This document represents the full Agreement, superseding any previous understandings or agreements.
  • If any provision of this Agreement is invalid or unenforceable, the remaining provisions shall remain in full force and effect.
